1. Service Scope & Engagements
These Terms and Conditions govern the engineering contracts, software integration services, and consulting frameworks provided by **Baron MentorX** to enterprise clients.
Our engagements are defined strictly in Statement of Work (SOW) documents executed by both parties. Any advice, analysis frameworks, or performance projections provided on this website are for educational purposes and do not represent formal guarantees.
2. Intellectual Property Rights
Ownership of assets, codebases, and configurations is structured as follows:
- Proprietary Core Assets: Baron MentorX retains sole ownership of prebuilt algorithm structures, custom mechatronics simulation physics models, machine learning loss evaluation frameworks, and SCADA communication middleware scripts.
- Client Deliverables: Subject to full payment of service invoices, clients receive a perpetual, non-exclusive, royalty-free license to use, modify, and host custom dashboard interfaces, database configurations, and PLC parameters compiled specifically for their infrastructure.
3. Client Obligations & System Access
To ensure successful deployment of AI pipelines, mechatronics grids, or cybersecurity mitigations, clients agree to:
- Provide Access: Provide our engineering teams with isolated staging sandbox environments, read-only database connections, or PLC emulator configurations as required.
- Maintain Cybersecurity: Enforce zero-trust network credentials and secure boundary firewalls at their own expense to protect system integrity during remote integration tasks.
- Ensure Compliance: Disclose any regional compliance rules, union work safety guardrails, or medical data policies before cutover events.
4. Limitation of Liability
Baron MentorX designs highly secure systems, but automated software carries inherent operational risks:
- No Consequential Damages: In no event shall Baron MentorX, its developers, or sub-contractors be liable for loss of profits, factory downtime, sensor failures, transaction database corrupted records, or grid utility charges.
- Liability Cap: Our cumulative liability for all claims arising from a specific contract shall be capped strictly at the total fees paid by the client to Baron MentorX under the matching Statement of Work (SOW) during the 6 months preceding the liability event.
5. System Warranties & Disclaimers
Unless expressly stated otherwise in a signed Statement of Work, all consulting deliverables, custom neural networks, and automated routines are provided **"as-is"** and **"as-available"**.
We do not guarantee that AI models will maintain 100% predictive accuracy over time due to telemetry drift, nor do we warrant that physical mechatronic controllers will run without mechanical interruption. The client assumes final operational responsibility for oversight and emergency override loops.
6. Governing Law & Dispute Resolution
These Terms and Conditions shall be interpreted, construed, and enforced in accordance with the laws of the **State of New York, United States**, without regard to conflict of law principles.
Any dispute, controversy, or claim arising out of these terms or client consulting projects shall be submitted to confidential binding arbitration in the City of New York, conducted under the commercial rules of the American Arbitration Association (AAA).
